NewAPI Paid Pilot — Terms, Privacy and SLA Pack

Scope: overseas-facing new-api paid pilot. SG-hosted, overseas domain, overseas users. Domestic (China) pricing/listing is a separate track and is not covered here.


0. Service provider

The Service described in this document is provided by Shaoxing Keqiao District Minglan Trading Firm (绍兴市柯桥区明兰贸易商行), an individual business (个体工商户) registered in the People's Republic of China. Payment processing for prepaid top-ups is provided by Paddle as Merchant of Record; Paddle acts solely as the payment processor and is not a party to this service agreement.

1. Terms of Service (pilot minimum)

  1. Service: prepaid, token-metered API access through new-api. During the pilot the service is provided "as is, best effort".
  2. Payment: prepaid top-up only. Payment processing is provided by Paddle (Merchant of Record). The provider does not offer refunds during the pilot; unused prepaid balances remain available for use unless the service is discontinued.
  3. Metering and pricing: usage is billed per token at the published price card. Prices follow the upstream DeepSeek official price card at a fixed multiplier (list price x2), converted to USD at the daily locked FX snapshot shown on the price page. Peak pricing matches the upstream official announcement: Beijing time 09:00–12:00 and 14:00–18:00, half-open windows (12:00:00 and 18:00:00 are off-peak). Billing is locked at request arrival; later price-card changes do not retroactively change completed charges.
  4. Fair use: the provider may suspend an account for abuse, fraud, or violation of upstream model provider terms, including repeated refund abuse, payment fraud, or chargeback abuse. Credentials are non-transferable.
  5. Availability: pilot makes no SLA commitment. Status is best-effort; the provider may suspend or discontinue the pilot at any time with reasonable notice on the status page.
  6. Governing law and disputes: This Agreement and any non-contractual obligations arising out of or in connection with it shall be governed by the laws of the Republic of Singapore, without regard to its conflict-of-laws rules. Any dispute, controversy, claim or difference arising out of or relating to this Agreement, or the breach, termination or validity thereof, shall be finally settled by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the SIAC in effect on the date of the request for arbitration. The seat of arbitration shall be Singapore and the language of the arbitration shall be English.

2. Privacy Statement (pilot minimum)

  1. Data collected: account identity (email from registration), token-usage records (model, token counts, timestamps), and payment records (processed by Paddle; card details never touch the provider).
  2. Storage: service data is stored on servers in Singapore. Overseas domain and user base are assumed.
  3. Cross-border transfer: The Service is operated on servers located in Singapore. If you are located in the European Economic Area, the United Kingdom or Switzerland, please note that your personal data will be transferred to and processed in Singapore. We do not currently market or actively offer the Service to customers in the EEA, the UK or Switzerland. By using the Service you acknowledge and accept this transfer. Before we actively offer the Service in those regions, we will implement the EU Standard Contractual Clauses (SCCs) or an equivalent transfer mechanism approved by competent authorities.
  4. Retention: usage and billing records are retained for accounting and dispute purposes; logs and alert telemetry are retained per the observability configuration (see ADR-PLATFORM-002) and are accessible only to the operator and on-call. No user-content inspection is performed except for abuse/fraud investigation.
  5. Sharing: no personal data is sold. Payment data is shared only with Paddle for payment processing.
  6. Contact / deletion requests: contact support@thomaslab.cn for account, billing, data-access, deletion and privacy requests. Service status and announcements are published on the status page (https://status.thomaslab.cn).
